Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and farmPogo ("farmPogo", "we", "us", "our") governing your access to and use of the farmPogo website, application, data, reports, and related services (together, the "Service"). By creating an account, leasing a neighbourhood seat, or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. Eligibility and business use

The Service is offered to real estate professionals for use in their business. By using the Service you represent that you are of the age of majority in your province, that you are using the Service for business purposes and not as a consumer, and that, where your use requires it, you hold any licence or registration applicable to your real estate activities. You are solely responsible for confirming that your use of the Service is permitted by your brokerage, your regulator, and any professional body you belong to.

2. No affiliation

farmPogo is an independent software company. We are not a real estate brokerage and we are not affiliated with, endorsed by, or acting on behalf of any real estate brokerage, the Nova Scotia Association of REALTORS® (NSAR), the Nova Scotia Real Estate Commission (NSREC), the Canadian Real Estate Association (CREA), the Property Valuation Services Corporation (PVSC), Statistics Canada, or any other organization named or referenced in the Service. Trademarks belong to their respective owners.

3. The Service

farmPogo provides neighbourhood-level market intelligence, statistical estimates, monitoring, reports, and prospecting materials for real estate professionals in Nova Scotia (Halifax Regional Municipality), New Brunswick (the Moncton and Saint John areas), and Manitoba (Winnipeg). Neighbourhoods correspond to Statistics Canada census Dissemination Areas ("DAs"). Up to two seats are available per DA, and an optional exclusive lock is available that reserves the DA to a single seat holder. Pricing for each DA is shown before purchase; prices are tax-exclusive and applicable sales tax (HST in Nova Scotia and New Brunswick, GST in Manitoba) is added at checkout. Subscriptions are billed through Stripe on a quarterly basis. We may add, modify, or discontinue features of the Service at any time.

4. Where our data comes from

The information presented in the Service is derived from data we ingest from third-party sources, including:

  • Property Valuation Services Corporation (PVSC) open data, including the Nova Scotia assessment roll, deed-transfer sale records, and residential dwelling characteristics;
  • Service New Brunswick / GeoNB open data, including New Brunswick property assessment and sale records, used under the GeoNB Open Data Licence, and Address New Brunswick civic address data;
  • City of Winnipeg open data, including assessment parcels, building permits, and address data, used under the City of Winnipeg Open Government Licence, and City of Winnipeg property sales information published by the City Assessor;
  • Statistics Canada products, including Census of Population data at the Dissemination Area level and the Open Database of Addresses;
  • publicly advertised for-sale-by-owner listings;
  • municipal and provincial open data, including building permits, planning applications, building details, and municipal tax rates, from Halifax Regional Municipality and the Province of Nova Scotia, and municipal building permit and planning data from our other served municipalities; and
  • OpenStreetMap and other open geographic data for neighbourhood names and boundaries; and
  • the Canadian Real Estate Association's Data Distribution Facility (DDF®), used solely to look up your brokerage office and REALTOR® roster when you set up your account. We do not use DDF data for market statistics, property listings, valuations, or prospecting of any kind.

These sources are maintained by third parties. We do not control them and cannot verify every record they contain. Data in the Service reflects the state of these sources as of the time we ingested them and may lag, contain gaps, or contain errors.

5. Errors, omissions, and no guarantees

We work to present accurate information, but any errors or omissions in the Service are unintentional and may result from errors, omissions, or delays in the third-party data we ingest. The Service is provided for decision support only. Nothing in the Service is a guarantee, promise, or representation of current or future listings, sales, transactions, commissions, leads, or revenue of any kind. Past market activity is not a predictor of future results. Nothing in the Service constitutes legal, financial, investment, appraisal, or professional advice, and the Service is not an appraisal or opinion of value of any property.

6. Predictive information

Scores, rankings, propensity estimates, projections, and other predictive information in the Service are the output of mathematical formulas and statistical analysis applied to the data the system ingests, and nothing else. They are probabilistic estimates, not statements of fact, not predictions about any identified individual's intentions, and not guarantees that any property will be listed or sold. You are solely responsible for any decision or action you take in reliance on them.

7. Your licence to the data

Leasing a DA seat grants you a limited, non-exclusive, non-transferable, revocable licence to use the data, reports, scores, and other materials the Service provides for that DA for the sole purpose of prospecting that area in your own real estate business. This licence does not permit you to resell, repackage, redistribute, publish, share, sublicense, or otherwise make the data available to any third party, in whole or in part, in any form, without the express written consent of farmPogo. You may not scrape, bulk-export, reverse engineer, or use the Service or its data to build or train a competing product or dataset. All rights not expressly granted are reserved. Your licence ends when your lease for the DA ends or your account is terminated.

8. Seats, locks, and lead delivery

A seat is personal to the individual agent who leased it. Seats are not transferable and may not be shared with, assigned to, or used by any other person, including colleagues or team members at the same brokerage. Where two agents hold seats in the same DA, information and leads that the Service generates for that DA may be delivered to both seat holders. Where an agent has paid for the exclusive lock on a DA, all current and future information and leads that the Service generates for that DA will be delivered exclusively to the holder of the lock for as long as the lock remains in effect. Lead delivery describes how the Service routes information; it is not a promise that any leads will be generated.

9. Term, renewal, and no refunds

Each DA lease is a fixed three-month commitment beginning on the date of purchase. All fees are payable in advance and are non-refundable once paid, to the maximum extent permitted by law. There are no refunds or credits for partial terms, unused periods, downgrades, or DAs you choose not to work. Leases renew automatically for successive three-month terms at the then-current pricing unless you release the DA before the renewal date; we will show you the renewal price before it is charged. Releasing a DA takes effect at the end of the current term, not immediately. If a renewal payment fails or a subscription is cancelled or subject to a chargeback, the associated leases and locks terminate and the DA becomes available to other agents.

10. Your responsibilities

You are solely responsible for how you conduct your prospecting and marketing, including your calls, emails, texts, mailings, and door-knocking. You must comply with all laws and rules that apply to you, including Canada's Anti-Spam Legislation (CASL), applicable privacy legislation, do-not-call rules, and the rules of your provincial real estate regulator and association (such as NSREC and NSAR in Nova Scotia), CREA, your board, and your brokerage. farmPogo does not send communications to consumers on your behalf and is not responsible for the content, timing, or lawfulness of your outreach. You are also responsible for maintaining the security of your account and the email address used to sign in.

You alone own the responsibility of ensuring that all marketing materials you use — including reports, letters, and other materials generated by or derived from the Service — comply with your brokerage's rules, MLS® rules, and the rules and requirements of your provincial real estate regulator and association (such as NSREC and NSAR in Nova Scotia) before you use them. farmPogo does not review your marketing for compliance and is not liable for any breach of compliance arising from your marketing activities or your conduct otherwise.

11. Intellectual property

You own the branding, headshots, and other content you upload, and you grant us a licence to use them to provide the Service. Reports and marketing materials generated for your account may be used in your own real estate business, subject to Section 7. The Service itself — including our software, models, scores, databases, designs, and templates — is and remains the exclusive property of farmPogo.

12. Third-party services

The Service depends on third-party providers, including Stripe for payments. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

13. Disclaimer of warranties

The Service and all data, reports, scores, and materials it provides are supplied "as is" and "as available", without warranties or conditions of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, non-infringement, or uninterrupted availability, all of which are disclaimed to the maximum extent permitted by law.

14. Limitation of liability

To the maximum extent permitted by law: (a) farmPogo and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, commissions, business, goodwill, or data, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages; and (b) our total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim. These limitations apply regardless of the theory of liability, whether contract, tort (including negligence), statute, or otherwise, and even if a limited remedy fails of its essential purpose.

15. Indemnification and hold harmless

You agree to indemnify, defend, and hold harmless farmPogo and its owners, directors, officers, employees, contractors, and agents from and against any and all claims, demands, actions, investigations, proceedings, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service or its data; (b) your prospecting, marketing, advertising, or other communications or conduct toward any person; (c) your breach of these Terms, including the licence restrictions in Section 7; (d) your violation of any law, regulation, or professional rule, including CASL, privacy legislation, and the rules of your provincial real estate regulator and association (such as NSREC and NSAR in Nova Scotia), CREA, or your brokerage; or (e) any dispute between you and any client, consumer, brokerage, or other third party. farmPogo is not responsible or liable for the actions of any agent using the Service. We may assume the exclusive defence of any matter subject to indemnification, in which case you agree to cooperate with us. This section survives termination of these Terms.

16. Suspension and termination

We may suspend or terminate your access to the Service, without refund, if you materially breach these Terms — including any breach of the licence restrictions in Section 7 or sharing of a seat — or if your use of the Service creates legal risk for us or other users. You may stop using the Service at any time, but fees already paid remain non-refundable and the three-month commitment in Section 9 continues to apply. On termination, your licence to the data ends and you must stop using data obtained from the Service, except in materials you already lawfully distributed in your own business.

17. Changes to the Service and these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a new "Last updated" date and, where the change is significant, notify active subscribers by email. Your continued use of the Service after changes take effect constitutes acceptance. Pricing changes take effect at your next renewal, not mid-term.

18. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of third-party data sources, hosting providers, or payment processors.

19. Governing law and jurisdiction

These Terms, and any dispute arising out of or related to them or the Service, are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable in Nova Scotia, without regard to conflict-of-laws rules. You irrevocably submit to the exclusive jurisdiction of the courts of Nova Scotia for any such dispute.

20. General

These Terms, together with our Privacy Policy and any order or checkout terms, are the entire agreement between you and farmPogo regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization or sale of our business. Sections 5–7, 9, and 13–16, 19, and 20 survive termination. Notices to you may be sent to the email address on your account.
